Important legal notice

By accessing or using YapyPay, you agree to be bound by these Terms of Use. If you disagree with any part of these terms, you must not use our Services. YapyPay is a software platform that enables payment processing through licensed third-party payment providers. We are not a payment processor ourselves. For USDC settlements, funds are sent directly to the wallet you control, without passing through us. For Bitcoin payments, YapyPay receives the payment through its provider and pays out your share to you in BTC in batches.

1. Acceptance of the terms

These Terms of Use (the "Terms") form a legally binding agreement between you and YapyPay ("we", "us" or "our") governing your access to and use of the YapyPay website (www.yapypay.com) and of all related services, APIs, software and features (together, the "Services"). By creating an account, accessing our platform or using any of our Services, you acknowledge that you have read, understood and accepted these Terms as well as our Privacy Policy.

2. Eligibility and account requirements

2.1 Age requirement

You must be at least 18 years old to use the YapyPay Services. By using our platform, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into binding contracts.

2.2 Account creation

To access our Services, you must create a merchant account by providing:

  • A valid email address that you own and can access
  • A secure password meeting our security requirements
  • A valid payout wallet address to receive your funds

You are responsible for keeping your credentials confidential and for all activity carried out under your account. You must notify us immediately of any unauthorised access or security breach.

3. Services provided

3.1 Description of the platform

YapyPay is a Software-as-a-Service (SaaS) platform providing tools to accept and manage online payments. Our Services include, without limitation, API payment integration, hosted payment pages, payment links, invoice generation, subscription management, analytics dashboards and webhook notifications.

3.2 Third-party payment processing

Important: YapyPay does not process card payments itself and does not hold your customers' funds. All card processing is performed by licensed third-party payment providers integrated into our platform. We act solely as a software intermediary between your business and those providers, and settlements are sent to the wallet address you provide.

4. Subscription plans and fees

4.1 Plan structure

YapyPay offers several subscription plans (Free, Starter, Pro, Business) with different features, transaction limits and commission rates. Each plan includes:

  • A monthly subscription fee (€0 for the Free plan, €4.90 for Starter, €14.90 for Pro, €49.90 for Business)
  • A commission per transaction (5% Free, 2.5% Starter, 1.9% Pro, 1.4% Business)
  • A monthly limit on the number of transactions
  • A monthly volume limit

4.2 Billing and payments

Subscription fees are billed monthly in advance. The commission is deducted from each transaction processed through our platform. By subscribing to a paid plan, you authorise YapyPay to charge the payment method you designate automatically at each billing cycle until you cancel your subscription.

4.3 Quota limits and enforcement

Each plan has its own quota limits. When you reach your monthly transaction count or volume limit, the processing of new payments is temporarily blocked until you upgrade your plan or until the next billing cycle. We reserve the right to enforce these limits strictly in order to guarantee fair use of our Services.

5. Acceptable use policy

5.1 Permitted uses

You may use the YapyPay Services only for lawful business purposes, in compliance with all applicable laws and regulations. You are responsible for ensuring that:

  • Your business activities comply with local and international law
  • You provide your customers with accurate product and service descriptions
  • You honour refund requests in accordance with your stated policy
  • You protect your customers' data and privacy

5.2 Prohibited activities

You are expressly prohibited from using the YapyPay Services for:

  • Illegal products or services, including but not limited to drugs, weapons or stolen goods
  • Fraudulent activities, scams or deceptive marketing practices
  • Money laundering or terrorist financing
  • Gambling or betting services (unless duly licensed)
  • Adult content or services
  • Pyramid schemes or multi-level marketing scams
  • Hacking tools, exploits or malicious software
  • Circumventing our quota limits or our security measures

6. Intellectual property rights

6.1 YapyPay property

All content, features, software, APIs, designs, logos and trademarks displayed on YapyPay are the exclusive property of YapyPay or its licensors. You are granted a limited, non-exclusive and non-transferable licence to access and use our Services solely for your business purposes. This licence grants you no ownership right.

6.2 Your content

You retain all rights to the content you upload to YapyPay (product descriptions, images, shop customisations). By uploading content, you grant us a worldwide, non-exclusive licence to use, reproduce and display that content for the sole purpose of delivering our Services.

7. Limitation of liability

IMPORTANT DISCLAIMER

The YapyPay Services are provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including without limitation the warranties of merchantability, fitness for a particular purpose and non-infringement.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YapyPay SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGE, NOR FOR ANY LOSS OF PROFIT, REVENUE, DATA OR GOODWILL ARISING FROM YOUR USE OF OUR SERVICES.

In jurisdictions where liability cannot be excluded, our total liability towards you for all claims combined shall not exceed the greater of the amount you paid to YapyPay during the 12 months preceding the claim or €100.

8. Indemnity

You agree to indemnify, defend and hold harmless YapyPay, its officers, directors, employees and affiliates against any claim, liability, damage, loss, cost or expense (including reasonable legal fees) arising from: (a) your use of our Services, (b) your breach of these Terms, (c) your infringement of any third-party rights, or (d) any transaction processed through your account.

9. Availability and changes to the Services

9.1 Uptime and maintenance

Although we aim for 99.9% uptime, we do not guarantee uninterrupted access to our Services. We reserve the right to carry out scheduled maintenance, updates or emergency repairs that may temporarily affect availability. We will give advance notice whenever possible.

9.2 Changes to the Services

We may modify, suspend or discontinue any aspect of our Services at any time, with or without notice. We shall not be liable for any modification, suspension or discontinuation of the Services.

10. Account termination

10.1 Your right to terminate

You may terminate your account at any time by cancelling your subscription from the dashboard or by contacting support. Upon termination you keep access until the end of the current billing period. No refund is issued for partial months.

10.2 Our right to terminate

We reserve the right to suspend or terminate your account immediately, without notice or liability, if you breach these Terms, engage in prohibited activities, or if we believe your account presents a security or legal risk. Upon termination, your right to use the Services ceases immediately.

11. Data and privacy

Your use of YapyPay is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it to understand how we collect, use and protect your personal data.

12. Third-party links and services

Our Services may contain links to third-party websites or integrate third-party services. YapyPay is not responsible for the content, accuracy or practices of those external sites. Your interactions with third-party services take place solely between you and that third party.

13. Governing law and dispute resolution

13.1 Governing law

These Terms are governed by and construed in accordance with the laws of the country in which YapyPay is established, without regard to its conflict-of-law rules.

13.2 Dispute resolution

Any dispute arising from these Terms or from your use of the YapyPay Services shall be resolved through good-faith negotiation. Should negotiation fail, you agree to submit to the exclusive jurisdiction of the competent courts of the country in which YapyPay is established.

14. Changes to the Terms

We reserve the right to modify these Terms at any time. Where changes are material, we will notify you by email or through a prominent notice on our website. Continuing to use YapyPay after such notice constitutes acceptance of the modified Terms. If you do not accept the changes, you must stop using our Services and close your account.

15. Severability

If any provision of these Terms is held invalid, unlawful or unenforceable by a competent court, the remaining provisions shall remain in full force and effect. The invalid provision shall be amended to the minimum extent necessary to make it valid and enforceable.

16. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YapyPay regarding your use of our Services and supersede all prior agreements and understandings, whether written or oral.
