1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and YapyPay ("we," "us," or "our") governing your access to and use of the YapyPay website (www.yapypay.com) and all related services, APIs, software, and features (collectively, the "Services"). By creating an account, accessing our platform, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

2. Eligibility and Account Requirements

2.1 Age Requirement

You must be at least 18 years of age to use YapyPay Services. By using our platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding contracts.

2.2 Account Creation

To access our Services, you must create a merchant account by providing:

• •A valid payment wallet address for receiving funds

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

3. Services Provided

3.1 Platform Description

YapyPay is a Software-as-a-Service (SaaS) platform that provides tools for accepting and managing online payments. Our Services include but are not limited to payment API integration, hosted payment pages, payment links, invoice generation, subscription management, analytics dashboards, and webhook notifications.

3.2 Third-Party Payment Processing

Important: YapyPay does not directly process payments or handle customer funds. All payment processing is performed by licensed third-party payment processors integrated with our platform. We act solely as a software intermediary facilitating communication between your business and these payment providers.

4. Subscription Plans and Fees

4.1 Plan Structure

YapyPay offers multiple subscription plans (Free, Starter, Pro, Business) with varying features, transaction limits, and commission rates. Each plan includes:

• •Monthly subscription fee (€0 for Free plan)
• •Per-transaction commission percentage
• •Monthly transaction count limit
• •Monthly volume limit

4.2 Billing and Payments

Subscription fees are billed monthly in advance. Commission fees are deducted from each transaction processed through our platform. By subscribing to a paid plan, you authorize YapyPay to charge your designated payment method automatically each billing cycle until you cancel your subscription.

4.3 Quota Limits and Enforcement

Each plan has specific quota limits. When you reach your monthly transaction count or volume limit, new payment processing will be temporarily blocked until you upgrade your plan or wait for the next billing cycle. We reserve the right to enforce these limits strictly to maintain fair usage of our Services.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use YapyPay Services only for lawful business purposes in compliance with all applicable laws and regulations. You are responsible for ensuring that:

6.1 YapyPay Property

All content, features, functionality, software, APIs, designs, logos, and trademarks displayed on YapyPay are the exclusive property of YapyPay or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use our Services solely for your business purposes. This license does not grant you any ownership rights.

6.2 Your Content

You retain all rights to the content you upload to YapyPay (product descriptions, images, shop customizations). By uploading content, you grant us a worldwide, non-exclusive license to use, reproduce, and display your content solely for the purpose of providing our Services.

7. Limitation of Liability

In jurisdictions where liability cannot be excluded, our total liability to you for all claims shall not exceed the amount you paid to YapyPay in the 12 months preceding the claim or €100, whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless YapyPay, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from: (a) your use of our Services, (b) your violation of these Terms, (c) your violation of any rights of third parties, or (d) any transactions processed through your account.

9. Service Availability and Modifications

9.1 Uptime and Maintenance

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to our Services. We reserve the right to perform scheduled maintenance, updates, or emergency repairs that may temporarily affect service availability. We will provide advance notice when possible.

9.2 Service Changes

We may modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Services.

10. Account Termination

10.1 Your Right to Terminate

You may terminate your account at any time by canceling your subscription through the dashboard or contacting support. Upon termination, you will retain access until the end of your current billing period. No refunds will be issued for partial months.

10.2 Our Right to Terminate

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if you breach these Terms, engage in prohibited activities, or if we believe your account poses a security or legal risk. Upon termination, your right to use the Services will cease immediately.

Your use of YapyPay is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising from these Terms or your use of YapyPay Services shall be resolved through good faith negotiation. If negotiation fails, you agree to submit to the exclusive jurisdiction of the courts located in France.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or through a prominent notice on our website. Your continued use of YapyPay after such notification constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using our Services and terminate your account.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and YapyPay regarding your use of our Services and supersede all prior agreements and understandings, whether written or oral.
